Intrade Australia Pty Ltd — Content Assignment Agreement
Effective Date: The date on which you upload or submit any content to Intrade Australia Pty Ltd (“Acceptance Date”).
This Content Assignment Agreement (“Agreement”) governs the relationship between Intrade Australia Pty Ltd (“Intrade”, “we”, “us”, “our”), including its successors, subsidiaries, affiliates, licensees and assigns, and you (“Licensor”, “you” or “your”), in relation to the irrevocable assignment of all rights in and to the content you submit.
By submitting any content to Intrade, you agree to all terms of this Agreement.
1. Assignment of Content and Transfer of Ownership
1.1 You are submitting certain visual, written or audio visual content, including files, videos, images, photographs, recordings, screenshots, text, audio, metadata, URLs or any other materials (“Content”).
1.2 By uploading, submitting or otherwise providing the Content to Intrade, you irrevocably assign to Intrade, absolutely and with full title guarantee, all rights, title and interest in and to the Content, including but not limited to:
all intellectual property rights
copyright and related rights
all rights in performances, voices, likeness, identity and appearance
all personality, publicity and image rights
all moral rights (which you expressly waive to the fullest extent permitted by law)
all rights in characters, trademarks, logos and branding appearing in the Content
1.3 The assignment applies worldwide, in perpetuity, in every format, media or technology now known or later developed, without restriction.
1.4 From the Acceptance Date, Intrade becomes the sole and exclusive owner of the Content with the unlimited right to:
use
reproduce
distribute
display
modify
adapt
edit
license
sell
commercialise
create derivative works
publish
broadcast
or otherwise exploit the Content in any manner Intrade sees fit, without limitation.
1.5 You acknowledge and agree that Intrade may take legal action, including suing for damages or injunctions, against any person (including you) who uses or attempts to exploit the Content after it has been assigned.
2. Rights of Publicity and Personal Information
2.1 You grant Intrade the unrestricted right to use your name, likeness, image, voice, biography, social media handle and any other identifying information contained in or connected to the Content.
2.2 You confirm that every person appearing in the Content has provided full and informed consent to these same terms. You accept full liability for any person who has not given such consent.
3. Warranties and Representations
You warrant, represent and undertake that:
(a) you are the sole legal owner of the Content and have full authority to assign it;
(b) the Content does not infringe the rights of any person;
(c) you have obtained all permissions, clearances and releases from individuals, property owners, employers, contractors or any other third parties as required;
(d) all information provided to Intrade is true, accurate and complete;
(e) the Content does not contain viruses, malware or harmful code;
(f) you have not and will not grant any rights in the Content to any other party;
(g) the Content does not defame, endanger, mislead or violate any law;
(h) nothing in the Content will expose Intrade to claims, complaints or legal action.
4. Indemnity and Liability
4.1 You agree to fully indemnify, defend and hold harmless Intrade, its directors, officers, employees, affiliates, partners, licensees, sponsors and assigns from any claim, demand, loss, liability, damage, cost or expense (including legal fees on a full indemnity basis) arising from:
your breach of this Agreement
your use or attempted use of the Content after assignment
the appearance of other individuals in the Content
your failure to obtain required permissions
any allegation that the Content infringes rights or causes harm
4.2 This indemnity applies whether or not Intrade is alleged to be negligent.
4.3 You agree that Intrade is entitled to seek injunctive relief, damages, enforcement orders or any other remedy necessary to protect its rights in the Content.
5. No Obligation to Use Content
Intrade is under no obligation to:
use the Content
publish the Content
feature or credit you
The assignment of rights remains valid even if the Content is never used.
6. Confidentiality
You may not disclose, discuss or publish any information relating to this Agreement or Intrade’s processes, communications or decisions without prior written consent from Intrade.
7. Governing Law and Jurisdiction
This Agreement is governed by the laws of Queensland, Australia.
You agree that any dispute arising under or in connection with this Agreement shall be submitted exclusively to the courts of Queensland, and you submit to their jurisdiction.
8. Entire Agreement
This Agreement constitutes the entire agreement between you and Intrade regarding the Content. No other terms or promises apply.
